Terms of Service

Please read these terms carefully before using Stillboard Pro. By using our service, you agree to be bound by these terms and conditions.

1. Acceptance of Terms

Welcome to Stillboard Pro. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Stillboard Inc. ("Stillboard," "we," "us," or "our") governing your access to and use of the Stillboard Pro platform, including our website, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Important: Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.

2. Description of Service

Stillboard Pro is a 30-day goal tracking and execution system designed to help users achieve measurable outcomes through structured daily logging, weekly reviews, and proof-based progress tracking. The Service provides:

  • 30-Day Runs: Focused goal-tracking periods with defined objectives, measurable proof metrics, and daily commitment requirements
  • Daily Logging: Tools to record daily progress, tasks completed, insights gained, and time invested
  • Deep Work Timer: Integrated time tracking for focused work sessions
  • Weekly Reviews: Structured reflection periods to assess progress and adjust strategies
  • Proof Reports: Comprehensive summaries documenting your achievement and progress data
  • Analytics Dashboard: Visual representations of your execution patterns and trends

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.

The Service is intended for personal productivity and goal tracking. It is not designed for use in any context where failure could result in personal injury, death, or significant financial or property damage.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information. You must promptly update your account information to keep it accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong, unique password
  • Not share your account credentials with any third party
  • Immediately notify us of any unauthorized access or security breach
  • Ensure you log out of your account at the end of each session

3.3 Account Restrictions

You may only maintain one active account. Creating multiple accounts to circumvent subscription limits, abuse free trials, or violate these Terms is prohibited and may result in immediate termination of all associated accounts.

3.4 Account Transfers

Accounts are non-transferable. You may not sell, trade, or otherwise transfer your account to any other person or entity without our express written consent.

4. Subscription and Payments

4.1 Subscription Plans

Stillboard Pro offers the following subscription options:

4.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Payment Methods

We accept major credit cards and other payment methods as displayed at checkout. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.

4.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period but will apply to subsequent renewal periods. We will provide at least 30 days' notice of any price increases.

4.5 Refund Policy

Subscription fees are generally non-refundable, except as required by applicable law. However, if you are dissatisfied with the Service within the first 7 days of your paid subscription, you may request a full refund by contacting our support team. Refund requests after this period will be considered on a case-by-case basis at our sole discretion.

4.6 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, you will retain access to Pro features until the end of your current billing period. After that, your account will revert to the free tier with limited functionality.

5. Free Trial Terms

5.1 Trial Period

New users are eligible for a 7-day free trial that includes one complete 30-day run with full access to all features. The trial begins upon account creation and does not require payment information.

5.2 Trial Limitations

  • Each user is entitled to one free trial only
  • Trial access is limited to one 30-day run
  • After 7 days, your run continues but enters read-only mode
  • Export and advanced analytics features may be restricted during trial

5.3 Post-Trial Access

After the trial period expires, you may continue to view your existing data but cannot add new logs or start new runs without upgrading to a paid subscription. Your data will be retained for 90 days, after which it may be permanently deleted unless you subscribe.

5.4 Trial Abuse

Attempting to obtain multiple free trials through multiple accounts, false information, or other deceptive means is strictly prohibited and will result in immediate account termination and potential legal action.

6. User Content and Data

6.1 Ownership of Content

You retain all ownership rights to the content you create, upload, or input into the Service ("User Content"), including daily logs, notes, attachments, and other materials. We claim no ownership interest in your User Content.

6.2 License Grant

By submitting User Content, you grant Stillboard a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or close your account, except for anonymized aggregate data.

6.3 Data Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. We employ industry-standard security measures to protect your data, but no method of transmission or storage is 100% secure.

6.4 Data Export

Pro subscribers may export their data in PDF and CSV formats at any time. We recommend regular backups of important data. Upon account termination, you have 30 days to export your data before it is permanently deleted.

6.5 Content Responsibility

You are solely responsible for all User Content you submit. You represent that you have all necessary rights to submit such content and that it does not violate any applicable laws or third-party rights. We do not pre-screen User Content but reserve the right to remove any content that violates these Terms.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

7.1 Prohibited Activities

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights of others
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any part of the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated scripts, bots, or scrapers to access the Service
  • Collect or harvest user data without authorization
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any activity that could disable, overburden, or impair the Service

7.2 Prohibited Content

  • Content that is defamatory, obscene, pornographic, or offensive
  • Content that promotes violence, discrimination, or illegal activities
  • Content that infringes on intellectual property or privacy rights
  • Spam, advertising, or promotional materials (unless authorized)
  • Confidential information belonging to third parties

7.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing offending content, suspending or terminating accounts, and reporting to law enforcement authorities.

8. Intellectual Property

8.1 Stillboard Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Stillboard, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Trademarks

"Stillboard," "Stillboard Pro," the Stillboard logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stillboard Inc. You may not use such marks without our prior written permission.

8.3 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include:

  • Modification, copying, or distribution of the Service
  • Reverse engineering or attempting to extract source code
  • Removing any copyright or proprietary notices
  • Creating derivative works based on the Service
  • Sublicensing, selling, or commercial exploitation of the Service

8.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STILLBOARD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

9.3 Cap on Liability

In no event shall our total liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

9.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

10. Termination

10.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting our support team. Upon termination, your right to access and use the Service will immediately cease.

10.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including but not limited to:

  • Violation of these Terms or our policies
  • Conduct that we determine is harmful to other users, us, or third parties
  • Extended periods of inactivity
  • Suspected fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees

10.3 Effect of Termination

Upon termination:

  • All licenses granted to you will immediately terminate
  • You must cease all use of the Service
  • We may delete your account and all associated data after 30 days
  • Any outstanding payment obligations will remain due
  • Provisions that by their nature should survive will remain in effect

10.4 Data Retrieval

We recommend exporting your data before terminating your account. You have 30 days following termination to request a copy of your data. After this period, we may permanently delete all data associated with your account.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at legal@stillboard.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute through good-faith negotiation within 60 days.

11.2 Binding Arbitration

If we cannot resolve the dispute informally, you and Stillboard agree to resolve any claims arising out of or relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

11.3 Arbitration Procedures

  • Arbitration will be conducted by a single arbitrator
  • The arbitration will take place in San Francisco, California, or via telephone/video conference
  • The arbitrator's decision will be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction

11.4 Class Action Waiver

YOU AND STILLBOARD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

11.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

12. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Subject to the arbitration provisions above, any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

If you are accessing the Service from outside the United States, you are responsible for compliance with all applicable local laws. We make no representation that the Service is appropriate or available for use in any particular location.

13. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify you via email to the address associated with your account
  • Display a prominent notice on the Service

For material changes, we will provide at least 30 days' notice before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account. We encourage you to review these Terms periodically to stay informed of updates.

Additional Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Stillboard regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Stillboard.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their successors and assigns.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

By using Stillboard Pro, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
